1. Agreement to Terms

These Terms of Service ("Terms") are entered into between you and Sheet2Nest (the "Company", "we", "us", or "our"). By accessing or using Sheet2Nest ("Service"), you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using our Service, you agree to comply with and be bound by these Terms.

2. Description of Service

Sheet2Nest is a software-as-a-service (SaaS) platform that provides intelligent DXF file nesting optimization tools. Our Service enables users to:

• Upload and parse DXF (Drawing Exchange Format) files
• Extract parts, holes, and geometry from DXF files
• Optimize part placement on sheets to minimize waste
• Generate nesting layouts with various algorithms
• Export results as SVG or DXF files
• Generate PDF reports with statistics and layouts

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Registration and Security

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are responsible for safeguarding your account credentials. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

4. Subscription Plans and Billing

Sheet2Nest offers various subscription plans with different features and usage limits. By subscribing to a plan, you agree to:

• Pay all fees associated with your selected plan
• Automatic renewal of your subscription unless cancelled
• Comply with usage limits and restrictions of your plan

Billing: All payments are processed through Paddle, our third-party payment processor. By providing payment information, you authorize Paddle to charge your payment method for all fees due.

Subscription Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee.

Price Changes: We reserve the right to modify subscription prices. Price changes will be communicated to you at least 30 days in advance. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Refunds: Refund requests are governed by our Refund Policy, which is incorporated into these Terms by reference.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without authorization
• Use automated systems to access the Service in a manner that sends more requests than a human could reasonably produce

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6. Intellectual Property Rights

Service Ownership: The Service, including all content, features, functionality, and software, is owned by Sheet2Nest and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Content: You retain ownership of any DXF files, parts, or other content you upload to the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing the Service to you.

Output Content: You own any output generated by the Service from your User Content, including nesting layouts, SVG files, DXF files, and PDF reports.

Trademarks: "Sheet2Nest" and our logos are trademarks of Sheet2Nest. You may not use our trademarks without our prior written consent.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

8. Service Availability and Modifications

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Maintenance and updates
• Technical issues or failures
• Circumstances beyond our reasonable control

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEET2NEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or data
• Any errors or omissions in the Service
• Any interruption or cessation of the Service
• Any bugs, viruses, or other harmful code

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Any defects or errors will be corrected
• The Service is free of viruses or other harmful components
• The results obtained from using the Service will be accurate or reliable

11. Indemnification

You agree to indemnify, defend, and hold harmless Sheet2Nest, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

12. Termination

Termination by You: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

Termination by Us: We may suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent, illegal, or harmful activity
• Fail to pay fees when due
• Use the Service in a manner that could harm us or other users

Upon termination, your right to use the Service will immediately cease. We may delete your account and data after a reasonable period, subject to our data retention policies.

13. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.
